Agreement: By clicking "Submit Subscription Term Change" you, on behalf of the entity named in the form on this web page ("Customer"), (a) agree to replace the referenced order ("Order") by and between Customer and the Workiva entity named in the Order ("Workiva") with a new order that accomplishes the "Purpose" below (“New Order”) which will be provided within two (2) business days of Workiva’s receipt of this form, (b) agree that the New Order will continue to be governed by the terms and conditions that currently govern the Order by and between Customer and Workiva (“Master Terms and Conditions"); (c) represent and warrant that you have the requisite authority to enter into a New Order on behalf of Customer; (d) agree that, notwithstanding anything to the contrary in the Master Terms and Conditions, the New Order provided by Workiva pursuant to your submission of this form shall, absent any objection by Customer within in five (5) business days of its receipt, constitute a binding agreement between the parties; and (e) agree that Customer will be responsible for the fees associated with the New Order as set forth in the Master Terms and Conditions.

Purpose: Customer has chosen to replace the Order with the New Order. The New Order sets forth a three (3) year subscription term with annual payments. One day after the End Date in the Order (or upon expiration as stated therein), the New Order will replace the Order and remain in place for three (3) years from the Start Date noted in the New Order (the "Initial Subscription Term"). Upon the completion of the Initial Subscription Term the New Order will automatically and continually renew for one (1) year (each, a "Subsequent Subscription Term"), until notice is provided as set forth in the Master Terms and Conditions (if nothing in the Master Terms and Conditions sets forth the parties' rights regarding notice of renewals, Subsequent Subscription Terms will continue to renew automatically until a party provides notice of non-renewal at least thirty (30) days prior to expiration of the then current Subscription Term. Any renewals will be to the then current version of the Workiva Software at the discretion of Workiva. You further acknowledge that should Customer exercise the right to terminate the New Order without cause all unpaid amounts for the New Order will immediately become due, notwithstanding any conflict with the Master Terms and Conditions.
